Terms of Service

Introduction

This Agreement is entered into by and between you (“User”) and Sanislink Inc. (“Company”). By activating your device, you agree to these terms. Sanislink offers two distinct pathways to access the Self-Custodial Wellness Network, depending on your selected tier.

1. Hardware Ownership & The “Bailed Asset” Provision

Tier A: 1-Year Pro Membership (Ceramic) Edition – Network Subsidized

Status: An included wearable ceramic smart ring is provided with the subscription under a hardware-as-a-service license to facilitate health data tracking and wellness analytics. The User pays an annual subscription fee ($60/year) for AI insights and habit points capabilities.

Bailment: The hardware remains the property of Sanislink and is granted a license to the User during subscription period under a bailment arrangement solely for active network access.

Tier B: Precious Metal Editions (their complimentary bonus ceramic smart rings go the same) – Asset

Status: The User purchases and owns the hardware outright. The ownership transfers to the buyer upon delivery, while the software functionality remains subject to the Pro Access license terms.

Ongoing Access: These premium editions include Unlimited Pro Memberships. No annual subscription fees are required to maintain active network status.

2. 30-Day No-Questions-Asked Return Policy

Window: Users may request a full refund of their initial payment (subscription fee or purchase price) within thirty (30) calendar days from the date the logistics tracking shows “Delivered” or “Signed for”.

Condition: To process the refund, the User must return the hardware in its original, undamaged condition. The User is solely responsible for all return shipping costs. Refunds will be issued only after the physical inspection of the returned hardware.

3. Subscription, Payment & Active Status

3.1 Subscription Fee & Payment

The base subscription fee for the Sanislink network is $60/year. You can pay for the upcoming year using traditional fiat currency (cash/credit) OR by redeeming valid habit points earned during your active period. Points can be applied for up to a 100% deduction of the annual fee, making the hardware and service effectively free for highly disciplined users.

3.2 Active Status

During the paid or point-redeemed subscription period, your ring maintains “Active Status”. You will enjoy full-featured services, including deep AI health insights, real-time data monitoring, and the continuous right to earn Sanis points rewards.

4. Lifecycle, Grace Period and “Sleep Mode”

4.1 Grace Period / Basic Mode

If your subscription expires and is not immediately renewed, your device will not be “bricked” instantly. Instead, you will automatically enter a Grace Period of 30 calendar days.

During this 30-day window, the device will continue to collect and securely upload biometric data to the Company to maintain network integrity, but your app will be downgraded to Basic Mode:

(a) You will not be able to view deep AI health reports or trend analytics.

(b) The device will completely stop generating any new Sanis points rewards.

4.2 Sleep Mode

If the subscription remains unrenewed after the 30-day Grace Period concludes, the hardware will enter “Sleep Mode”. Over-the-air (OTA) updates will restrict the ring’s functionality, and it will cease all data transmission and syncing until the subscription is reactivated at any time. The hardware does not need to be physically returned.

5. Data Ownership and Sanis Points Rewards

Users retain ownership of their encrypted raw biometric data. The data is encrypted on-device, and users are solely responsible for private key management. The Company utilizes synthetic data technology to extract anonymous statistical trends.

Users earn Sanislink habit points for their data contributions. Sanis points are not investments, have no cash value outside the ecosystem, and cannot be traded on secondary financial markets.

6. Disclaimer and Risk Disclosure

6.1 General Wellness Product / Non-Medical Device

The Sanislink ring, accompanying software, and AI reports are strictly designed as General Wellness Products. They are intended solely as a reference to encourage a healthy lifestyle and are not a basis for medical diagnosis, cure, mitigation, treatment, or prevention of any disease. Please consult a licensed physician or healthcare professional for any medical decisions or if you experience a medical emergency.

6.2 Service Interruption Exemption

The Company makes no guarantees regarding the uninterrupted functionality of health alerts. Specifically, if your account is in the “Grace Period” or “Sleep Mode” due to an expired subscription, the device may stop processing or issuing health warnings and anomalies. The Company assumes absolutely no liability for any health incidents, undiagnosed conditions, or undetected anomalies that occur during any inactive, Grace Period, or Sleep Mode status. Users assume full responsibility for maintaining an Active Status to access AI insights.

7. Independent Contractor Status

All Referral Partners, Independent Operators, and Network Contributors participating in any Sanislink referral, commission, or reward programs are strictly “Independent Contractors”.

They are absolutely NOT employees, agents, partners, joint venturers, or corporate affiliates of Sanislink Inc. They have no authority to make any promises, warranties, representations, or to bind Sanislink to any agreements on our behalf. Any statements or medical claims made by these independent contractors regarding HSA/FSA eligibility, device capabilities, or health outcomes are solely their own and do not reflect the official policies or guarantees of Sanislink Inc.
