Sanislink Hardware Bailment and Node Subscription Agreement

Foreword: This agreement is signed by the user (hereinafter referred to as “you”) and Sanislink Inc. (hereinafter referred to as the “company”).

Article 1: Hardware Ownership and Bailment

1.1 Definition: The “Sanislink Ceramic Smart Ring” (which is not a lifetime membership version, hereinafter referred to as the “equipment”) under this Agreement is defined as a “Bailed Asset”.

1.2 Retention of Ownership: You acknowledge and agree that ownership of the equipment remains with Sanislink at all times. The $60 you pay is the “annual node subscription data analysis service fee”, not the equipment purchase price. You only get a Limited Right of Use for the device during the subscription period.

1.3 Prohibited Disposal: You are not allowed to sell, transfer, mortgage or dismantle the equipment. The equipment is essentially a physical base station that the company grants for free in order to connect you to the AI ​​medical network.

Article 2: Subscription Services, Lifecycle and Lockout

2.1 Subscription Fee: The subscription fee is $60/year. You can pay for the following year by paying cash or using valid points earned during the active period (100% deductible).

2.2 Active Status: During the subscription period, you enjoy full-featured services and the right to earn points.

2.3 Grace Period/Zombie Mode:

If the subscription expires and is not renewed, you will enter a grace period of 30 natural days.

During this period, the device will continue to collect and upload data to the company, but (a) you will not be able to view the AI ​​depth report, and (b) it will stop generating any point rewards.

2.4 Remote Lockout:

If the grace period (30 days) expires without renewal, the company has the right to remotely lock the device through OTA (Over-the-Air) technology and terminate all its functions until you pay the subscription fee.

No need to return: In order to reduce carbon emissions and logistics costs, you do not need to physically return the device after the service is terminated. However, the device will be in an unavailable “sleep” state until renew your subscription.

Article 3: Data Exchange & Rights

3.1 Data-to-Sustain: You agree to maintain your right to use the device by continuing to wear the device and upload biometric data.

3.2 Value of Points: Points are only used to offset service fees and do not constitute a legally solvent currency or securities investment.

3.3 Data Derivation Rights: You retain the right to know the original data, but irrevocably give up your right to claim the “synthetic data” that has been desensitized and aggregated by algorithms and its commercial derivative benefits (such as sale to pharmaceutical companies).

Article 4: Disclaimer and Risk Disclosure

4.1 Non-Medical Devices: This device and AI report are only used as a reference for healthy lifestyle and are not a basis for medical diagnosis. Please consult a professional doctor for any medical decisions.

4.2 Service Interruption Exemption: If you are in the “grace period” or “sleep period”, the device may stop issuing health warnings. The Company is not responsible for any health incidents or undetected anomalies during inactive subscription periods.

Article 5: Refund and Dispute

5.1 Cooling-off Period Waiver: In view of the immediate nature of the Service, you agree that once the device is activated or used for more than 30 days, the annual subscription fee is non-refundable; the purchase fees for other precious metal ring styles also apply to this clause.
